CHANIS (the “Firm”, “CHANIS”, “we”, “us” or “our”)

1. Acceptance of the Terms and Conditions

These Terms and Conditions of Use (the “Terms”) govern access to, browsing of, and use of the website www.CHANIS.pa (the “Site”), operated by CHANIS, a business law firm domiciled in the Republic of Panama.

By accessing or using this Site, you acknowledge that you have read, understood, and accepted these Terms in their entirety, as well as any amendment, legal notice, or additional special condition that CHANIS may publish on this Site and that may be applicable. If you do not agree with any of the terms set forth herein, you must refrain from accessing or using this Site.

CHANIS may amend these Terms whenever necessary. Such amendments shall become effective upon their publication on this Site; therefore, Users are advised to review their content periodically.

2. Purpose of the Website

The purpose of this Website is to provide information about CHANIS, its professionals, practice areas, legal services, publications, news, and other activities of the Firm, and to make available to Users contact channels for establishing initial communication with CHANIS.

3. Content

3.1 The Content of this Site does not Constitute Legal Advice

All content published on this Site, including, without limitation, descriptions of practice areas, articles, memoranda, bulletins, linked social media publications, attorney biographies, and any other informational materials, is provided solely for informational purposes and for general dissemination regarding the Firm and its practice areas.

Nothing contained on this Site constitutes, nor shall it be construed as, legal advice, a legal opinion, or a professional recommendation applicable to the particular circumstances of any user, reader, or visitor. Panamanian law, as well as the laws of any other jurisdiction referenced on this Site, is subject to changes, amendments, repeals, and judicial and administrative interpretations that may substantially modify the content published herein at any time, without implying any obligation on the part of the Firm to update such content immediately.

No user should act, refrain from acting, or make decisions of a legal, financial, tax, immigration, regulatory, or any other nature based solely on the content of this Site. Any such decision should only be made only after obtaining specific, individualized, and duly retained legal advice from a qualified attorney who evaluates the particular facts of the specific matter.

CHANIS assumes no liability for decisions made by any person based on the content of this Site, nor for any direct or indirect consequences that may arise from such decisions.

3.2 No Attorney-Client Relationship

Access to this Site, reading its content, interacting with any element thereof, submitting a contact form, sending an email communication to any address published on this Site, or any other form of interaction with the Site or its content, does not create, constitute, or shall be construed as establishing an attorney-client relationship between the user and CHANIS, or between the user and any of the attorneys, partners, associates, or personnel of the Firm.

An attorney-client relationship with CHANIS is formed only through the express execution of an engagement letter or written legal services agreement, duly signed by both parties, defining the scope of the engagement, the applicable fees, and the other terms and conditions of the representation.

Until such engagement letter or legal services agreement has been executed, the information that the user chooses to share through this Site shall be processed in accordance with CHANIS’s Privacy Policy and Personal Data Protection Policy, and shall not be protected by the duty of confidentiality or professional secrecy inherent to an attorney-client relationship. Users are advised to refrain from sharing, through the contact forms on this Site or by unencrypted email, confidential, sensitive, or legally privileged information until a representation relationship with the Firm has been formalized.

The submission of an inquiry through this Site also does not guarantee that CHANIS will accept the matter presented. The Firm reserves the right to accept or reject any matter at its sole discretion, including, without limitation, for reasons of conflict of interest, availability, or because the matter does not fall within the Firm’s practice areas.

3.3 Accuracy and Updating of Content

CHANIS endeavors to ensure that the content published on this Site is accurate and remains reasonably up to date; however, it does not guarantee that such content is free from errors, omissions, or inaccuracies, or that it reflects at all times the most current status of the applicable legislation, case law, or administrative practice.

The Site may include references to laws, decrees, resolutions, and regulations of the Republic of Panama in force as of the date of publication of the corresponding content. The user acknowledges that such regulations may have been amended, repealed, or reinterpreted after such publication, and that it is the user’s sole responsibility to verify the current status of any legal provision before acting on the basis thereof.

4. Intellectual Property

All content on this Site, including, without limitation, texts, articles, publications, bulletins, graphics, logos, the trade name “CHANIS”, trademarks, design, structure, compilation, and source code (the “Content”), is the property of CHANIS or its licensors, and is protected by Panamanian and international intellectual property and copyright laws.

Access to the Site does not grant the user any ownership right or license over its Content.

The user is authorized to consult and view the Content of this Site for personal and non-commercial use. The reproduction, distribution, modification, transmission, republication, public display, or commercial exploitation of any Content of this Site, in whole or in part, without the prior written authorization of CHANIS, is expressly prohibited.

Unauthorized use of the Content of this Site may give rise to any legal actions available under applicable law.

5. Acceptable Use of the Site

The user undertakes to use this Site in accordance with the law, morality, public order, and these Terms. In particular, the user agrees not to:

  1. Use the Site to transmit unlawful, defamatory, threatening, fraudulent, or third-party-infringing content.
  2. Attempt to gain unauthorized access to the Firm’s systems, servers, or databases, or interfere with the normal operation of the Site.
  3. Use automated mechanisms (bots, scrapers, crawlers) to extract Content from the Site without the Firm’s prior written authorization.
  4. Use the Site, its contact forms, or the email addresses published on it to send unsolicited commercial communications (spam), viruses, or malicious code.
  5. Impersonate any person or entity, or misrepresent the user’s identity or affiliation with any person or entity when interacting with the Site.

CHANIS reserves the right to restrict, suspend, or deny access to the Site to any user who, in its reasonable judgment, breaches these Terms.

6. Links to Third-Party Sites

This Site may contain links to third-party websites, including social media platforms, professional associations, and other external resources. Such links are provided solely for the convenience of the user. CHANIS does not control, endorse, or assume any responsibility for the content, privacy practices, or operation of third-party websites.

7. Availability of the Site

CHANIS endeavors to keep this Site continuously available and operational; however, it does not guarantee that access to the Site will be uninterrupted, timely, secure, or error-free. The Site may be temporarily unavailable due to maintenance, updates, technical causes, or circumstances beyond the reasonable control of the Firm, including failures of the technology infrastructure providers that host the Site.

8. Limitation of Liability

To the fullest extent permitted by applicable Panamanian law, CHANIS, its partners, associates, employees, and personnel shall not be liable for any direct, indirect, incidental, special, consequential, or other damages of any nature resulting from access to, use of, inability to use, or reliance on the content of this Site, including, without limitation, decisions made based on such content, service interruptions, errors or omissions in the content, or the processing of information by third-party technology service providers in connection with the Site.

This limitation of liability applies regardless of the legal theory invoked, whether contractual, tortious, or of any other nature, even if CHANIS has been advised of the possibility of such damage.

Nothing in this Section limits or excludes CHANIS’s liability in cases where such limitation or exclusion is not permitted by applicable Panamanian law, nor does it limit any professional liability that the Firm may have toward a client within the framework of an attorney-client relationship formally established through an engagement letter or legal services agreement, which shall be governed by the terms of such agreement and by the rules of professional ethics applicable to the practice of law in Panama.

9. Indemnification

The user agrees to indemnify and hold harmless CHANIS, its partners, associates, employees, and personnel from and against any claim, loss, damage, liability, cost, or expense (including reasonable attorneys’ fees) arising from: (i) the user’s misuse of this Site; (ii) the user’s breach of these Terms; or (iii) the user’s violation of any third-party rights or any applicable legal provision.

10. Amendments to these Terms

CHANIS may amend these Terms at any time by publishing the updated version on this Site, indicating its last updated date. Continued use of the Site after the publication of amendments constitutes the user’s acceptance of such amendments. Users are advised to review these Terms periodically.

11. Severability

If any provision of these Terms is declared invalid, illegal, or unenforceable by a competent court, such provision shall be deemed severed from the remaining provisions, without affecting the validity and enforceability of the rest of these Terms, which shall remain in full force and effect.

12. Governing Law and Exclusive Jurisdiction

These Terms, as well as any controversy, claim, or dispute arising out of or related to access to or use of this Site, its content, or these Terms, shall be governed by and construed exclusively in accordance with the laws of the Republic of Panama.

The user agrees that, for the resolution of any controversy arising out of or related to these Terms or the use of this Site, the parties expressly, voluntarily, and irrevocably submit to the exclusive jurisdiction and competent courts (ordinary courts) of the Republic of Panama, seated in Panama City, expressly waiving any other forum, jurisdiction, or court that may correspond to them by reason of domicile, nationality, residence, or any other present or future cause.
